1. Introduction
This Seller / Contributor Agreement (“Agreement”) sets forth the terms under which contributors (“you,” “your”) may upload, license, and sell photos, videos, or other content (“Content”) on pictivio.com (“Pictivio,” “we,” “our,” “us”). By creating an account and submitting Content, you agree to be bound by this Agreement.
2. Eligibility
You must be at least 18 years old.
You must provide accurate registration details, including payment information.
You may only have one active contributor account unless expressly permitted.
3. Rights & Licenses
By submitting Content, you grant Pictivio a worldwide, non-exclusive, royalty-free license to:
Host, reproduce, distribute, display, market, and sell your Content.
Sub-license Content to customers in accordance with Pictivio’s licensing terms.
You retain full copyright ownership of your Content.
You may remove your Content at any time; however, existing licenses granted to customers will remain valid.
4. Warranties & Representations
You represent and warrant that:
You are the sole creator and copyright owner of the Content, or you hold all necessary rights and permissions.
Your Content does not infringe intellectual property, privacy, publicity, or moral rights of third parties.
You have obtained valid model and property releases where applicable.
Your Content does not contain illegal, defamatory, obscene, or harmful material.
You will comply with all applicable laws, including copyright and data protection regulations.
5. Prohibited Content
You may not upload Content that:
Contains hate speech, discrimination, or violence.
Involves pornography, explicit nudity, or child exploitation.
Promotes illegal activity.
Misrepresents identity, authorship, or licensing rights.
Pictivio reserves the right to remove Content or suspend accounts at its sole discretion.
6. Contributor Payouts
Contributors earn royalties from sales of their Content.
Royalties are calculated as a percentage of net sales, determined by Pictivio’s internal payout structure.
Minimum payout threshold: 50 EUR.
Payments are made to the contributor’s registered bank account.
Payouts are processed periodically, subject to verification and fraud checks.
Fees (such as bank transfer or processing fees) may be deducted from payouts.
7. Taxes
Contributors are responsible for reporting and paying any taxes arising from their earnings.
Pictivio may withhold taxes if required by applicable law.
8. Intellectual Property Claims
Pictivio respects intellectual property rights.
If we receive a valid complaint or legal notice regarding your Content, we may remove it and withhold related payouts until the matter is resolved.
You agree to indemnify Pictivio against claims, damages, or losses arising from your Content.
9. Account Termination
We may suspend or terminate your account if:
You breach this Agreement.
You upload infringing or prohibited Content.
You engage in fraudulent or abusive behavior.
Upon termination, remaining unpaid royalties (above 50 EUR) will be paid out, unless withheld due to disputes or legal claims.
10. Limitation of Liability
Pictivio provides the platform “as is” and does not guarantee sales or visibility of your Content.
We are not liable for indirect, incidental, or consequential damages related to your participation.
11. Amendments
We may update this Agreement at any time. Updates will be posted on this page with a new “Effective Date.” Continued use of the Website constitutes acceptance of the updated terms.
12. Governing Law
This Agreement shall be governed by the laws of Kenya, without regard to conflict of law principles. Disputes shall be resolved in the competent courts of Kenya, unless otherwise required by law.
